Menla Co-Sponsored Participation Agreement *	This is an agreement between Tibet House US (THUS) & regarding a THUS/Menla sponsored program taught at Menla. As a representative of the group or organization listed in the contract quote above, I acknowledge that checking of this box and the following boxes represents an agreement a digital signature agreeing to THUS/MENLA terms and conditions laid out below in this contract, making this digital contract a legal binding contract.
General Digital Contract Agreement *	This is an agreement between Tibet House US (THUS) regarding the rental of Menla for a retreat with the details listed above. As a representative of the group or organization listed in the contract quote above, I acknowledge that checking of this box and the following boxes represents an agreement a digital signature agreeing to THUS/MENLA terms and conditions laid out below in this contract, making this digital contract a legal binding contract. 1. CHECK-IN, CHECK-OUT & GENERAL BOOKING TERMS:I agree to the following: 1. in time is from 3pm on start date of the retreat listed above and check out of rooms is on the last day starting at 11 am from rooms and 12 pm form meeting spaces and 2pm from the property. 2. THUS/MENLA reserves the right to require breakfast check-out time, if same-day turnover is needed for an incoming group. 3.THUS/MENLA will pursue (an)other group(s) as rentals during this time period and there is no exclusive use of the property and participants are to be instructed to be mindful of other groups on the property. 4. THUS/MENLA may accommodate participant numbers in excess of those listed above as requested and as available at our published rates at time of request. THUS/MENLA reserves the right to change the above reserved housing to similar or upgraded housing as needed, at no additional fee. 5. THUS/MENLA reserves the right to change the contracted meeting space(s) above to equivalent or upgraded space(s) as needed at no additional fee. 2. ATTRITION POLICY & MINIMUM GUARANTEE i) Menla agrees to block the rooms in the quote above and will be referred to as the room block. In doing so, MENLA may be forced to turn away other groups that would want to book during this time. Therefore, MENLA limits reduction in the required minimum number of participants. Additional reductions in the required minimum beyond the allowable attrition (i.e. if your registrations don't meet the newly established minimum guarantee) will be billed at 100% of the contracted room rate). ii) The minimum guarantee is reflected as the total number of rooms in this contract that will be blocked off as a room block reserved for the group and any contracted optional add-ons. A final invoice will be created, based upon the final registration of all total participants, meeting space(s) used & any optional add-ons provided, according to the prices noted above by the conclusion of the event, unless the total actual cost based on reserved housing is less than the minimum guarantee,in which case the final total invoice will be for the minimum guarantee contract quote total. 3. SPECIAL FEES i) A $75 fee per space will be charged if cleaning above and beyond normal standards is required. ii) Errands to town: The group will supply its own helpers or assistants to run errands. However, at Management's discretion, Menla may make a staff member available to run emergency errands to town at a fee of $20/hour [plus gas at a rate of $5/gallon]. iii) Room Set-Up: Initial set-up for each meeting space rented is included in the room rental fee. The program coordinator must check room setup prior to the first class of the retreat. If requires the meeting space(s) to be reset additional times throughout the program will need to give advanced notice of at least 2 weeks and will incur a fee of $50/hour for the cost of labor. iv) If THUS/MENLA handles participant registrations, a per person registration fee of 5.98% will be charged on the accommodation portion of the registration and added to the final invoice. v) All participants are required to leave a credit card on file with the Front Desk upon check in for incidentals. Group organizers are responsible for communicating this to participants 4. PAYMENT SCHEDULE i) After completing and signing this contract, a non-refundable 1st deposit of 25% of the guaranteed minimum contract quote. If signed contract and 1st deposit are not recieved, the contract will be rendered void and Menla reserves the right to book another group in your place. ii) 60 days from the start date of the retreat listed above a 2nd non-refundable deposit of an additional 25% of the contract quote is due iii) The remaining balance is due at 9am on the retreat start date and the final invoice will be presented at this time above for review. iv) If MENLA manages individual participant registrations, the deposit balances due will be calculated less the amount collected for accommodations through online registration administrated by Menla at the time the deposits are due. Any remaining or additional charges or credits will be added to the final invoice. v) If MENLA does not manage individual participant registrations all fees will be delivered to THUS/MENLA as stipulated in the pay schedule above.and THUS/MENLA will not collect fees directly from participants. vi) Check payments should be made out to Menla and sent to PO Box 70, Phoenicia, NY 12464. Please be sure the name and dates of the retreat are clearly indicated on the check, as well as the payment number (e.g. 2nd deposit, Final Payment) vii) Credit card payments and paypal, venmo, cashapp etc will be charged an additional 2.98% processing fee viii) MENLA will charge an APR of 6.9% on balances not paid by the end of the retreat date and MENLA will charge an additional administration fee of $99 per month for each month the balance is overdue 5. PRODUCTION REQUIREMENTS, INDIVIDUAL REGISTRATION INFO & MEALS i) Approximate participant numbers are due no later than 30 days from the start of the retreat ii) Finalized documents, including complete housing entered into MENLA online PMS (retreat guru), with full names, diariety notes, meeting space request forms and accurate schedules is due no less than 14 days from the start of the retreat iii) MENLA understands that last-minute registrations are common and will not penalize for last-minute changes to final documents. MENLA simply needs the above mentioned information in order to properly and sufficiently staff our facility for your event. iv) If THUS/MENLA handles participant registrations directly, the group organizers do not need to furnish participant names, exact numbers, and housing charts. In either case, production requirements (room setup and classroom needs) and program schedule are due at least but no later than 4 weeks in advance of the program. v) If THUS/MENLA is not managing individual registrations, all individual special dietary needs must be communicated to THUS/MENLA at least one week in advance (when food ordering takes place), or THUS/MENLA cannot guarantee being able to accommodate those special needs. THUS/MENLA shall not be responsible for any participant complaints to this effect if a one-week notice has not been given. vi) Failure to provide the above finalized information to MENLA by the times stated above will result in 300 dollar administrative fee per day. vii) Upon request with prior notice and at the approval of the Head Chef, MENLA may accomodated meal times different than the normal times of 8-9am breakfast, 12-1pm lunch, and 6-7pm dinner viii) Arriving more than 30 minutes late to the scheduled meals will result in a fee of $40/hour. 6. EQUIPMENT, FACILITIES AND PERSONNEL i) Facilities and Personnel: In addition to the guest rooms and meeting rooms noted above participants will have use of the swimming pool, tennis courts, grounds, hiking trails, and fitness room. All other spaces not contracted are off limits, without prior arrangement. ii) THUS/MENLA will provide an Operations Manager to interface with the retreat's event coordinator on all logistical details of the retreat iii) THUS/MENLA will provide staffing for guest check-in and check-out. Front Desk will be staffed from 7:30 am - 9 pm, unless otherwise contracted in advanced iv) THUS/MENLA will provide staffing for meals, unless otherwise contracted v) Audio-Visual, Other Equipment, and Office Supplies. vi) Office and other supplies--e.g. flip chart pads, tissues, pads, pens, etc--are the responsibility of the group vii) Menla will provide basic classroom set up including tables, chairs, cushions, and yoga props upon request. Requests for specific yoga props and other classrooms set up items should be included in the production requirements outline submitted to THUS/MENLA three weeks prior to the program. If THUS/MENLA cannot offer full supply of props requested, THUS/MENLA will notify the group upon receipt of production requirements. 7. CARE AND ALTERATIONS i) Acknowledgement and Agreement to take care of the facility and will be responsible for any and all damage caused by use other than normal wear and tear, above and beyond normal use. Charges for any actual damage incurred by the group or a member of the group in any space 8. COMPLIANCE WITH THE LAW, FIRE LAWS, INDEMNIFICATION & FORCE MAJEURE I. As the representative of the group or organization listed in this contract quote I agree that I must comply at its sole cost and expense with all applicable laws, rules, and orders of any and all applicable governmental agencies, as well as with the rules and regulations of THUS/MENLA. THUS/MENLA will not be responsible for injuries occurred or articles lost on the premises. All guests will sign a form indemnifying THUS/MENLA upon registration. If for any reason beyond the control of THUS/MENLA, including without limitation as a result of any strike, trade dispute, fire, tempest, theft or breakdown, Act of God, force majeure, acts of war or terrorism, the facility cannot be occupied at the time stipulated in the contract, THUS/MENLA shall be entitled on written notice to terminate the contract and said group stated above shall have no claim for damages arising out of any such termination. Likewise, said group stated above shall be entitled on written notice to terminate the contract if any of the aforementioned conditions interfere with its participants attending the retreat, and THUS/MENLA shall refund all amounts paid, and shall have no claim for damages arising out of any such termination. ii) All fire laws must be obeyed: 1) There is no smoking except in designated outside areas. 2) No candles or incense are allowed in guest rooms at any time. Votive candles may be used in meeting rooms only with prior knowledge and permission of THUS/MENLA staff. 3. THUS/MENLA will not supply candles. If the fire department comes to Menla in response to any false alarms triggered by group participants, a $200 fine will be charged to the responsible individual. 9. ADDENDUM An addendum to this contract will be drafted to address any outstanding details not covered herein. This addendum may include, but are not limited to: extra night accommodations for individuals, individual extra meal costs, and special needs not considered and/or available at the time of contract.

As our garden has grown in recent years, supplying large quantities of items for guests, we are currently working towards expanding this portion of our eco-friendly environment.
